Several investor services organizations provide their clients or subscribers with corporate governance assessments, evaluations, and/or ratings or grades with respect to certain corporations with publicly traded securities. The reports prepared by these organizations vary in terms of the criteria used to evaluate corporate governance practices and policies and the assessment process. The published corporate governance ratings, grades, and evaluations reflect the opinions of those organizations and are not recommendations to buy, sell or hold any of CIT's securities.

Listed below are the investor services organizations that currently evaluate CIT's corporate governance. It should be noted that, due to confidentiality restrictions imposed by certain organizations, in some cases the information in this section may be incomplete. Full reports and/or ratings information may be available only to subscribers of the particular investor services organization. Individuals should visit the Web sites maintained by such organizations for information regarding (1) the ratings process and criteria utilized by each investor services organization and (2) how to subscribe to the services provided by the particular investor services organization.

Institutional Shareholder Services (ISS) has ranked CIT in the top echelon of companies surveyed in relative market and industry indices as part of the ISS Corporate Governance Quotient (CGQ) rating system.

CIT's score outperformed 93.3% of the S&P 500 companies rated by ISS, and 100% of the rated companies in the Diversified Financials Group.

The ISS CGQ rating takes into consideration the following core factors: (1) board structure and composition, (2) audit issues, (3) charter and bylaw provisions, (4) laws of the state of incorporation, (5) executive and director compensation, (6) qualitative factors (7) D&O stock ownership, and (8) director education.
